No tax on profits

No corporation tax, capital gains tax or withholding tax in the Territory. Tax where you and your business are resident is a separate matter, so take advice on it.

One person is enough

A single individual may be sole shareholder and sole director. No minimum capital, and no requirement to file accounts with the Registry.

Confidential, not secret

Beneficial owners are filed confidentially with the Registry and are not on public record. Directors are filed and available on application.

Shares or guarantee

Limited by shares with or without par value, or limited by guarantee. Multiple classes and bespoke voting rights are permitted.

Portable

A BVI company can continue into or out of the Territory, and merge with foreign companies, without losing its corporate identity or contracts.

Banks, exchanges, funds and courts deal with BVI companies daily. The form is understood, which shortens onboarding from Singapore to Zurich.

One price, itemised

US$1,650 to incorporate, and you can see what each part of it is. The Government fee is shown separately and passed through at cost, so you know what went to the Registry and what went to us. Everything optional is priced before you commit. Nothing appears on the invoice that you did not choose.

Refunded if we cannot proceed

Due diligence happens before we file, so nothing has been spent at the Registry if the file cannot be cleared. If our compliance checks cannot be satisfied, every fee you have paid us comes back in full. Read the guarantee.

Everything runs through a single email thread with a named person who has read your file: the questions, the documents, the renewals. There is no portal to register for, no ticket queue, and no repeating yourself to whoever picks it up next.

The statutory form, not a marketing form

The application follows the nine schedules the BVI application for a Business Company actually asks for. Answer it once and the file is complete, which is why formations here are held up by identity documents rather than by us coming back a fourth time for something we should have asked at the start.

Nothing falls due unannounced

The renewal, the economic substance declaration and the annual return all have deadlines with penalties behind them. We write to you before each one, with the amount and the date. A struck-off company is far more expensive to restore than to maintain.

Three documents, from each person

Required from every director, shareholder, beneficial owner and named contact. Gathering them first is the difference between a formation that takes days and one that takes weeks.

Notarised copy of passport

Photograph page, notarised within the last three months, on a passport valid for at least six more.

Notarised proof of address

Bank statement or reference, utility bill, driving licence or official notice in the person's own name, dated within three months and in English. No PO boxes.

Curriculum vitae

Current CV covering education, employment history, occupation and source of wealth. Signed and dated.

Where a shareholder or director is a company rather than a person, we also need its constitutional documents: certificate of incorporation, M&AA, registers, certificate of incumbency, a board resolution and an ownership chart, plus individual documents on the people behind it.

How long does a formation take?

Two to five working days from a clean file, and the Registry is rarely the delay. What takes the time is gathering three certified documents for each person, which is why we ask you to start on those before you order.

What does it cost in total?

US$1,650 to incorporate: the Government fee, registered agent and registered office for the first year, and the ten-document package. Extras such as an apostilled set or a company seal are chosen at step two and priced before you commit. From year two it is US$1,500 a year, plus filings where they apply. The full schedule is here.

When do I pay, and what if you cannot proceed?

At checkout, before we file anything. If our compliance checks cannot be satisfied we refund every fee you have paid us, in full. We complete due diligence before filing, so nothing has been spent at the Registry. Read the guarantee.

What do you need from me?

A notarised passport, a notarised proof of address dated within three months, and a signed CV, for every director, shareholder, beneficial owner and named contact. Where a shareholder is a company rather than a person, its constitutional documents as well. See what we accept.

Do I have to be in the BVI, or send anything by post?

No to both. The application is completed online, we ask for the identity documents by email once it is paid for, and you reply with them. Everything runs through that one thread, and there is no portal to register for.

Original documents are only involved if you order an apostilled set, which we courier.

Can I stop halfway and come back?

Yes. Answers save in your own browser as you go, so you can leave the application and return to it. Nothing is sent to us until you reach checkout.

A BVI company is a set of obligations, not a hiding place

You will file beneficial ownership. You will keep accounting records and say where they are kept. You will make an economic substance declaration and an annual return. If the company is struck off for unpaid fees, restoring it costs several times what maintaining it would have.

We would rather say this before you pay than after. If your plan depends on none of the above being true, we are not the right agent for it.
